Ella Cohen, the managing member of Cohen Legal Practice, has over two decades’ experience advising clients of all sizes on a variety of legal, regulatory, compliance and corporate matters. Ella’s extensive experience both in private practice and running an extremely busy in-house legal department for a global asset manager has prepared her to take a business-friendly approach to advising her clients.
Ella began her career in the funds group of Clifford Chance LLP representing registered investment companies and private funds. After Clifford Chance, Ella worked as an associate in the financial services group of Tannenbaum Helpern Syracuse & Hirschtritt LLP during the hedge fund boom of the early 2000s. During her 8 years in private practice, Ella structured and represented a multitude of U.S. and non-U.S. funds and their advisers and advised on an extensive list of corporate matters. Ella joined the institutional legal team of Morgan Stanley Investment Management Inc. in 2006 and worked there until 2018, most recently serving as U.S. Head of Institutional Legal for the Americas.
Ella’s extensive experience includes: advising on all aspects of private fund launches, including marketing and solicitation issues; negotiating investment management agreements and broker-dealer agreements; handling a variety of corporate governance and operational matters; drafting operating agreements for general partner and investment adviser entities; and advising on an array of regulatory and compliance matters arising under the U.S. Investment Advisers Act of 1940, the U.S. Securities Act of 1933, the U.S. Investment Company Act of 1940 and the U.S. Commodity Exchange Act.
Ms. Cohen received a Juris Doctor Degree from St. John's University School of Law. She holds a Bachelor of Science in Foreign Service Degree from Georgetown University.
